Christopher J. Rayl is an experienced corporate attorney whose practice focuses on public finance. He represents issuers, borrowers, underwriters and letter of credit banks in a wide variety of tax-exempt and taxable transactions, including revenue bonds for 501(c)(3) organizations, general obligation bonds for governmental issuers, tax increment and other special tax-backed bonds, off-balance sheet student housing bonds, taxable and tax-exempt bank loans and industrial development bond transactions.
Mr. Rayl also has significant experience in the areas of securities law and affordable housing / mixed finance transactions. He advises public and private companies regarding public offerings and private placements, public company reporting requirements, disclosure / Rule 10b-5 issues and federal and state securities law compliance. His securities law expertise provides public finance clients with unique value in areas including preparation and review of offering documents, primary and secondary market disclosure issues, and compliance with SEC and MSRB rules.
In the area of affordable housing transaction law, Mr. Rayl has worked with public housing authorities and developers in over 30 transactions since 1998 involving the revitalization of public and low income housing, with financing sources including HOPE VI grant funds, capital funds, other public housing funds and low income housing tax credits.
Mr. Rayl received his B.A. with honors from the University of Chicago in 1985 and received his J.D. cum laude from the University of Pennsylvania Law School in 1988. He is a member of the National Association of Bond Lawyers, Pennsylvania Association of Bond Lawyers and Allegheny County Bar Association, and is admitted to practice in the Commonwealth of Pennsylvania.
